RESPONSIBILITIES
Deal Execution/Transaction Leadership
- Lead buy-side and sell-side M&A transactions from origination through closing, serving as the primary point of contact and accountability for deal execution and client outcomes
- For sell-side engagements: Develop and execute target marketing strategies, identify and qualify prospective acquirers, manage data room and diligence processes, and drive negotiation of deal terms in coordination with client counsel
- For buy-side engagements: Evaluate acquisition targets against client investment objectives, prepare preliminary opportunity assessments, and oversee financial and strategic analysis to support investment decisions
- Monitor and maintain deal timelines and ensure data is received, reviewed, and actioned promptly throughout the deal cycle.
- Provide regular status updates to both clients and Western senior management, escalating key risks or issues proactively
Client Engagement & Relationship Management
- Serve as the senior client relationship owner on assigned engagements, delivering a white-glove advisory experience throughout the transaction lifecycle
- Communicate effectively with diverse client stakeholders, including C-Suite executives, Senior Leaders, and others such as Controllers, legal counsel, and operations leadership. Individual should be able to adapt their communication style and substance based on the audience (e.g., strategic framing for CEOs; financial detail for accounting teams; risk-based language for legal counsel)
- Build and nurture long-term client relationships that generate repeat engagement, referrals, and expanded advisory opportunities
- Identify client needs and proactively surface value-added advisory services aligned with client goals
Deal Team Management & Talent Development
- Oversee and direct deal team members (Analysts through VP level) on all active transactions, ensuring quality, accuracy, and timeliness of all work product before client delivery
- Review and approve financial models, client presentations, Confidential Information Memoranda (CIMs), management presentations, and other deal documents
- Collaborate with other Deal Leads and firm leadership on deal staffing, resource allocation, and team capacity planning
- Act as a mentor and coach to junior professionals, providing constructive feedback, career development guidance, and on-the-job learning opportunities that support a high-performance culture
Business Development Partnership
- Partner closely with the Business Development team to support origination efforts, evaluate pipeline opportunities, and ensure upcoming deal flow can be adequately resourced with experienced personnel
- Contribute to and review client pitch decks, teaser materials, and engagement letters, ensuring accuracy, strategic alignment, and professional quality before client delivery
- Transition into a relationship management role alongside BD once an engagement is identified, maintaining continuity and client trust through deal execution
- Represent Western Companies at industry events, conferences, and networking forums to build the firm’s brand and sourcing pipeline
QUALIFICATIONS
Experience
- 8+ years of investment banking, corporate finance, or M&A advisory experience, with a demonstrated track record of leading and closing transactions across buy-side and sell-side mandates
- 3+years of experience in a senior deal leadership capacity (VP, Director, or MD level) with direct client management responsibility
- Experience managing deal teams of 3–6+ professionals through full transaction cycles
- Broad sector exposure preferred; deep expertise in one or more verticals (e.g., industrials, construction, business services) is a strong plus
- Prior experience at a boutique or middle-market M&A advisory ?rm, Big 4 Transaction Advisory, or relevant corporate development role is valued
- Advanced proficiency in financial modeling, including LBO models, DCF/valuation analyses, merger models (accretion/dilution), and working capital analyses
- Expertise in deal structuring, due diligence management, and transaction documentation (LOIs, purchase agreements, QoE coordination)
- Strong command of Microsoft Excel, PowerPoint, and financial databases (Capital IQ, Bloomberg, PitchBook, or similar)
- Ability to review and interpret Quality of Earnings reports, legal term sheets, and financial statements across GAAP and non-GAAP frameworks
Licenses & Certifications
- FINRA Series 79 (Investment Banking Representative): Required, or able to obtain promptly after hire
- FINRA Series 63 (Uniform Securities Agent State Law): Required, or able to obtain promptly after hire
